By accessing and using the Yugen Films production planning tool (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. Yugen Films ("we," "us," "our," or "Company") reserves the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes your acceptance of the new Terms.
Yugen Films provides a web-based production planning tool designed for indie filmmakers. The Service allows users to upload screenplays in various formats (.fdx, .fountain, .pdf) which are automatically parsed to generate scene breakdowns, call sheets, gear lists, location data, and other production planning materials. The Service is currently offered as a beta product during early access and is provided free of charge during this period.
To use the Service, you may be required to create a user account. You agree to provide accurate, current, and complete information during registration and to maintain the confidentiality of your account credentials. You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.
You agree not to use the Service:
Your Scripts and Content: You retain full ownership of all screenplays, scripts, production materials, and other content you upload to the Service ("Your Content"). By uploading Your Content, you grant Yugen Films a non-exclusive, royalty-free, worldwide license to use, process, analyze, and display Your Content solely for the purpose of providing the Service and improving our algorithms and features.
Yugen Films IP: The Service, including but not limited to the platform, software, design, features, functionality, and brand elements, is owned by Yugen Films or its licensors and is protected by copyright and other intellectual property laws. "Yugen Films" is a registered trademark in the European Union. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or professional filmmaking purposes only. You may not reproduce, modify, distribute, or create derivative works of the Service without our prior written consent.
You acknowledge that you are solely responsible for the content you upload to the Service. You represent and warrant that:
You agree to indemnify and hold Yugen Films harmless from any claims, damages, or liability arising from Your Content or your use of the Service in violation of these Terms or applicable law.

The Service is free during the beta period. Yugen Films may, at its sole discretion, begin charging for the Service or certain features at any time. We will provide reasonable notice of any pricing changes, but continued use of the Service following the notice period constitutes acceptance of the new pricing.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YUGEN FILMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOUR SOLE REMEDY FOR ANY DISSATISFACTION WITH THE SERVICE IS TO DISCONTINUE USE OF THE SERVICE. IN NO EVENT SHALL YUGEN FILMS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO YUGEN FILMS IN THE PRECEDING TWELVE (12) MONTHS, OR IF YOU HAVE NOT PAID ANYTHING, FIFTY EUROS (€50.00).
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YUGEN FILMS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
Either party may terminate this agreement at any time by providing written notice to the other party. Your account will be deactivated upon termination. Upon termination:
Yugen Films may terminate or suspend your account immediately, without notice or liability, for conduct that violates these Terms or applicable laws.
These Terms of Service are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Service shall be exclusively subject to the jurisdiction of the Dutch courts. You agree to submit to the personal jurisdiction of such courts and waive any objection to venue or forum non conveniens.
Yugen Films reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page and, where required by law, by sending you notification via email. Your continued use of the Service after any such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.
